The online service “reviewfinder.org” (hereinafter “reviewfinder” or “the Service”) enables companies (hereinafter “profile holders” or “companies”) to have the services they provide rated by their customers (hereinafter “customers”), and to aggregate reviews collected in this way, as well as reviews from third-party providers, and publish them on their own website.

These Terms of Use contain the basic rules for the use of the reviewfinder online service and for all legal transactions and legally relevant acts between the profile holder and the Operator, including future ones. Terms and conditions of the profile holder that deviate from or supplement these terms shall apply only if expressly confirmed in writing by the Operator.
2.1 Use of the Service by the profile holder requires registration. Registration establishes a contract between the profile holder and the Operator for the use of the Service. Registration and the setup of a user account (hereinafter “Profile”) is initially free of charge for the profile holder.
2.2 Registration is open exclusively to companies and persons acting in a commercial capacity for business purposes. Minors and natural persons not acting for business purposes (consumers) are not permitted to register.
2.3 Generating and trading in manipulated reviews is contrary to the Operator's values. Companies that generate reviews or trade in them are therefore also excluded from use.
2.4 The profile holder is obliged to provide the data collected during registration truthfully and completely. The use of pseudonyms or stage names is not permitted. If the data collected changes after registration, the profile holder must update the details in their profile without delay.
2.5 By submitting the registration form, the profile holder makes an offer to conclude a usage agreement with the Operator, agrees to these Terms of Use, and warrants that they have the authority of representation required to conclude the usage agreement, that they have provided truthful personal information, and that they are not excluded from use of the Service pursuant to clauses 2.2 and 2.3.
2.6 Multiple registrations and the creation of more than one profile are prohibited.
2.7 When registering, the profile holder sets, within the scope of technical possibilities, a username (email) and a password (hereinafter “Login Credentials”). The profile holder must keep the Login Credentials secret and protect them from access by unauthorized third parties. If the profile holder's Login Credentials are lost, or if the profile holder discovers or suspects that their Login Credentials are being used by a third party, they must notify the Operator immediately.
2.8 There is no entitlement to registration. The Operator reserves the right to reject the profile holder's registration without stating reasons.
2.9 In the event of a serious violation of these Terms of Use, the Operator is entitled to immediately suspend the profile. This applies in particular:
In the event of a profile suspension, the affected profile holder is prohibited from registering again with reviewfinder and creating a new profile until they have received the Operator's express prior consent.
3.1 The Operator grants the company/profile holder access to the Service for the duration of the usage agreement. The Service enables the profile holder to collect, manage, aggregate and display reviews, as well as to embed the reviewfinder widget on websites. The scope and content of the various service packages and features offered by the Operator, as well as the respective prices, are set out in the Operator's current price and service overview.
3.2 Reviews are initially made available to the profile holder only internally within their profile. The profile holder decides in their profile whether to publish none, some, or all of their reviews.
3.3 The Operator enables profile holders to import and aggregate reviews from other review platforms. There is no entitlement to the aggregation of reviews from platforms not listed among those supported by the Operator. The Operator reserves the right not to make the review aggregation function available for certain platforms if doing so would exceed a reasonable technical or time effort.
3.4 Customer reviews obtained by the profile holder via reviewfinder may be requested free of charge as a CSV file during the term of the usage agreement, and may continue to be used by the user even after the usage agreement ends. An email to support@reviewfinder.org is sufficient for this purpose.
3.5 The profile holder acknowledges that 100% availability of the Service is not technically achievable. The Operator nevertheless endeavors to keep the Service available as consistently as possible. In particular, maintenance, security or capacity concerns, as well as events outside the Operator's control (such as disruptions to public communication networks, power outages, etc.), may lead to brief interruptions or the temporary suspension of the Service. The Operator also reserves the right to discontinue the Service in whole or in part at any time, if applicable against reimbursement of usage fees already paid.
4.1 The profile holder warrants that the information provided during registration is complete and accurate. If the profile holder uses a profile picture, they warrant, by uploading it, that they are authorized to use the photo or graphic within the Service and that no third-party rights, in particular third-party copyright or personality rights, are infringed thereby. The same applies to the content posted. Such content must not, in any form, contain insulting, violence-glorifying, extremist, racist, sexist, discriminatory, content harmful to minors, pornographic, or otherwise unlawful material.
4.2 The profile holder is solely responsible for verifying the legal permissibility of advertising (including its manner) with the reviews. The Operator's liability toward the profile holder for damages arising from unlawful advertising with the reviews is excluded.
4.3 Misuse of the reviewfinder review system is not permitted.
5.1 If the profile holder has chosen a paid service package, the fee becomes due upon conclusion of the contract, unless expressly agreed otherwise. The fee is calculated monthly or annually in advance, depending on the offer selected. All prices are exclusive of any taxes, duties or charges that may apply, which the profile holder must bear in addition.
5.2 The term of subscriptions is divided into a minimum term and renewal periods. Both are determined by the offer chosen by the customer.
5.3 The term is automatically extended by the renewal period specified in the chosen offer upon expiry of the minimum term or a renewal period, unless the contract is terminated by either party at least 14 days before the end of the term.
5.4 The Operator sends invoices and payment reminders by email to the email address provided by the profile holder. The invoice is deemed received on the day the invoice email is sent. The profile holder is in default of payment 14 days after receipt if the invoice has not been settled within this period.
5.5 The profile holder is not entitled to set off claims unless the counterclaims have been legally established or are undisputed by the Operator.
6.1 The profile holder may terminate this usage agreement at any time without giving reasons. For paid offers, the notice period is two weeks before the end of the current term, unless otherwise specified in the respective service package. The right to extraordinary termination for good cause remains unaffected. Termination must be submitted in text form by email to support@reviewfinder.org.

Claims for payment of usage fees up to the expiry of the ordinary notice period remain unaffected by extraordinary termination by the Operator.
7.1 The Operator is liable for damages to the profile holder in accordance with the applicable statutory provisions, provided the damages were caused intentionally or through gross negligence, are the result of the absence of an expressly guaranteed quality of the service, or are based on a culpable breach of material contractual obligations (see clause 7.2).
7.2 Material contractual obligations are those contractual obligations whose fulfillment is essential for the proper performance of the contract in the first place and on whose observance the contracting party may regularly rely, and the breach of which jeopardizes the achievement of the purpose of the contract.
7.3 Otherwise, to the extent permitted by law, both the Operator's liability and liability for vicarious agents and agents used in performance are excluded, regardless of the legal grounds. The Service is provided “as is” and “as available”; further express or implied warranties are excluded to the extent permitted by law. To the extent the Operator's liability is not excluded, it is limited in amount to the fees paid by the profile holder in the twelve months preceding the event giving rise to the damage.
8.1 The Operator reserves the right to redesign these Terms of Use at any time. Changes will be offered to the profile holder in text form (e.g. by email) at least one month before the proposed effective date of the change (hereinafter “the Change Date”). The profile holder's consent is deemed given if they have not indicated their objection before the Change Date.
8.2 If the profile holder does not agree to the changes, they may terminate the usage agreement with effect from the Change Date at no additional cost. The change notice will also specifically point out the right of objection, the deadline for it, and the option to terminate. In addition, changes to the Terms of Use will be published on reviewfinder.
9.1 This usage agreement and all disputes arising from it are exclusively governed by the law of the State of Delaware, United States of America, excluding its conflict-of-law provisions and excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
9.2 The exclusive place of jurisdiction for all disputes arising from or in connection with the contractual relationship shall be the competent state and federal courts in the State of Delaware, USA. The profile holder hereby submits to the personal jurisdiction of these courts.
9.3 Should any provision of these Terms of Use be or become invalid or partially invalid, the validity of the remaining provisions shall remain unaffected. An invalid or partially invalid provision shall be replaced by the provision that comes economically closest to the original.
9.4 The profile holder may only transfer rights and obligations under this usage agreement to third parties with the Operator's prior written consent. The Operator is entitled to transfer its rights and obligations under this agreement, in whole or in part, to an affiliated company or a legal successor.
